Provider and definitions
The service is provided by Filip Šimkovič, a natural person operating under a trade licence (identification details are shown above). The client is the person ordering the service. The services are intended primarily for businesses. The contract is governed by Act No. 89/2012 Coll., the Czech Civil Code.
Subject of the services
I provide website and application development, graphic design and logos, multilingual websites with content administration, client portals, API integrations, maintenance and operation of finished solutions, and SEO audits. The exact scope, deliverables and deadlines are set by the offer confirmed by the client.
Offer and conclusion of contract
Prices shown on the website are indicative and do not constitute a binding offer. I prepare a binding offer after a consultation, based on the scope of the project. The contract is concluded when the client confirms the offer in writing or by e-mail. The project is governed by the offer, these terms and any separate contract, with the offer and contract prevailing over these terms.
Price and payment
Prices are in Czech koruna and exclude VAT; I am not a VAT payer. Payment is made by bank transfer against an invoice, with the due date stated on the invoice. Before work begins I may require a deposit, the amount and date of which are stated in the offer. In case of late payment I may suspend further work and charge default interest at the statutory rate. Operating services are billed regularly in the agreed amount.
Client cooperation
The client provides the materials needed for delivery on time, in particular texts, images, logos and access credentials. Client delays move the agreed deadlines. The client is responsible for holding the necessary rights to the materials provided and for ensuring that publishing them does not infringe the rights of third parties.
Deadlines and handover
Deadlines are binding only if expressly stated in the offer and run from the moment the client supplies all necessary materials. The work is handed over at the agreed address or by deployment to the client's domain. The client must inspect the work and report any defects without undue delay after handover. If defects are not reported within a reasonable period, the work is deemed accepted without reservations.
Copyright and references
Upon full payment of the price, the client obtains a licence to use the completed work for its own purposes, without limitation in time or territory. This does not include third-party components and open-source libraries, which are subject to their own licences, nor general know-how and reusable parts of code that I may use for other projects. Unless agreed otherwise, I may list the work and its name in references and my portfolio. The client may refuse this at any time in writing.
Maintenance and operation
The maintenance and operation service includes hosting, domain and certificate, backups, updates, availability monitoring and minor changes, to the extent stated in the offer. Extensions, new sections and features beyond this scope are handled separately and priced in advance. I do not promise 100% availability. I provide it with professional care, but I am not liable for outages caused by third parties, such as the domain registrar or network provider.
Warranty and liability
I am responsible for the work having the properties agreed in the offer. I will remedy defects found without undue delay. I am not liable for damage caused by the client's content and materials, interference by third parties with the website, or consequential loss of profit. Total liability for damages is limited to the price of the affected project, to the extent permitted by law. This limitation does not apply to damage caused intentionally.
Termination
The client may cancel a project before completion. In that case the client pays for work performed up to cancellation and demonstrably incurred costs. Ongoing services, such as maintenance and operation, can be terminated in the manner and within the period stated in the offer.
Confidentiality and personal data
I keep the client's confidential information confidential. I process personal data in accordance with the privacy policy available on this website.
Consumers
The services are intended primarily for businesses. If a consumer orders the service, these terms do not affect the consumer's rights under mandatory provisions of law. A consumer may contact the Czech Trade Inspection Authority (coi.cz) as the alternative dispute resolution body.
Governing law and disputes
These terms are governed by the law of the Czech Republic. Disputes are resolved by the court with subject-matter and territorial jurisdiction in the Czech Republic. We will first try to resolve disputes by agreement.
Final provisions and contact
I may amend these terms; the version in effect on the day the contract is concluded always applies. Send questions about these terms by e-mail to the contact shown above.
